Terms of Service

Article 1 (Purpose)

These Terms govern the rights, obligations, and responsibilities between Client Builder Pro Notes (the “Company”) and users in connection with use of the employee-documentation software and related services (the “Service”) provided by the Company.

Article 2 (Definitions)

1. “Service” means the Client Builder Pro Notes desktop application and all services provided through the related website.
2. “User” means an individual or business that uses the Service under these Terms.
3. “Plan” means the free or paid tier that grants the right to use the Service.
4. “Data Store” means the encrypted database stored on the user’s computer in which employee information and documentation records are kept.

Article 3 (Effect and Amendment of Terms)

1. These Terms take effect by being posted on the Service screen or otherwise notified to users.
2. The Company may amend these Terms within the limits of applicable law, and will announce any changes at least 7 days before they take effect.
3. A user who does not agree to amended Terms may stop using the Service and terminate the agreement.

Article 4 (Provision of the Service)

1. The Company provides a desktop application (macOS, with other platforms to follow) for documenting employee matters.
2. The Service runs on an encrypted database stored on the user’s computer; employee information and documentation records are stored only on the user’s computer.
3. An internet connection is used for license checks and software updates, which are performed securely over the HTTPS protocol.
4. Other than license checks and updates, employee information and documentation records are not transmitted externally. The on-device AI also runs locally.
5. Software updates (bug fixes, improvements) provided within the user’s plan are free of charge.
6. Support is provided by email, in line with the user’s plan.

Article 5 (Nature of the Service; No Legal Advice)

1. The Service is an organizational tool that helps users keep clear, dated, factual records of employee matters.
2. The Company is not a law firm and the Service does not provide legal advice. Users should consult qualified counsel on serious or contested matters.
3. The user is solely responsible for the accuracy and content of records they create, and for complying with applicable employment, privacy, and recordkeeping laws.
4. The user is responsible for obtaining any consents required to collect or retain employee information under applicable law.
5. The Company does not review, censor, or warrant the legal sufficiency of user records.

Article 6 (Copyright and Intellectual Property)

1. All rights, including copyright and intellectual-property rights in the Service and software, belong to the Company.
2. The user is granted only the right to use the Service under these Terms and does not acquire ownership of the software.
3. The user may not use the Company’s name, logo, or trademarks without the Company’s prior written consent.
